Terms of Service

By accessing or using the services provided by MECH SOFTWARE LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, users, and clients who access or use our website, software solutions, IT consulting services, managed IT services, cloud solutions, and cybersecurity services.

MECH SOFTWARE LLC provides professional IT services including but not limited to: • Custom Software Development • IT Consulting and Strategy • Managed IT Services • Cloud Solutions and DevOps • Cybersecurity Solutions The specific scope, deliverables, timelines, and pricing for each engagement will be outlined in a separate Statement of Work (SOW) or service agreement.

Unless otherwise specified in writing: • Pre-existing IP: Each party retains ownership of their pre-existing intellectual property. • Developed Work: Custom software and solutions developed specifically for a client become the client's property upon full payment, unless otherwise agreed. • Company Tools: Proprietary tools, frameworks, and methodologies used in development remain the property of MECH SOFTWARE LLC. • License Grant: Where applicable, we grant clients a perpetual, non-exclusive license to use deliverables as specified in the project agreement.

To the maximum extent permitted by law: • MECH SOFTWARE LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. • Our total liability for any claims arising from services shall not exceed the fees paid for those specific services. • We are not liable for damages resulting from unauthorized access, data breaches beyond our control, or client-provided materials. • We do not guarantee uninterrupted or error-free service operation.

You agree not to use our services or any deliverables for: • Any unlawful purpose or in violation of any applicable laws or regulations • Infringing upon intellectual property rights of any third party • Distributing malware, viruses, or other harmful code • Attempting to gain unauthorized access to our systems or client systems • Engaging in activities that could damage our reputation or business relationships • Reselling or redistributing our services without written authorization

• Payment terms are specified in individual service agreements or invoices. • Standard payment terms are Net 30 unless otherwise agreed. • Late payments may incur interest charges as specified in the service agreement. • Refunds for services are handled on a case-by-case basis according to project milestones and deliverables. • Deposits and milestone payments are generally non-refundable once work has commenced.

• Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. • If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. • These terms are governed by the laws of the State of [State], without regard to conflict of law principles. • You agree to submit to the personal jurisdiction of the courts located in [State] for any actions not subject to arbitration.

• We reserve the right to modify these terms at any time. Material changes will be communicated via email or website notice. • Continued use of our services after changes constitutes acceptance of the modified terms. • Either party may terminate service agreements as specified in the applicable SOW or service agreement. • Upon termination, provisions regarding intellectual property, confidentiality, and limitation of liability shall survive.
